Article 1 — Subject of the agreement
This Distance Services Sales Agreement has been concluded between the Seller (Commerce Up Yazılım A.Ş.) and the Buyer (the person or organisation purchasing the product/service) within the framework of Consumer Protection Law No. 6502 and the Distance Contracts Regulation.
The subject of the agreement is to regulate the terms, pricing, payment conditions and cancellation and refund rights of the digital software service (SaaS subscription) the Buyer purchases through the comup.net platform.
Article 2 — Subject and features of the service
2.1 Commerce Up is a SaaS (Software as a Service) platform offering conversion optimisation tools for e-commerce sites, a widget system, AI-assisted campaign management and analytics services.
2.2 The service features provided under the Subscription Plan chosen by the Buyer are stated in the order summary confirmed at the time of purchase.
2.3 The service is a digital software service that requires internet access and is ready for immediate use.
Article 3 — Payment and pricing
3.1 Fees: Current prices are shown on the comup.net/pricing page in Turkish Lira and/or USD. VAT is calculated separately and reflected on the invoice.
3.2 Monthly subscription: Charged automatically at the start of each billing period. If a payment fails it is retried within 3 business days; if it continues to fail, the service is temporarily suspended.
3.3 Annual subscription: With the annual payment option, 12 months of fees are charged in advance. The discount rate announced by the platform applies to annual payments.
3.4 Free plan (Basic): Offered without collecting credit card details. The Company reserves the right to change or discontinue the free plan with prior notice.
3.5 Price changes: The Company may change subscription fees by notifying by email at least 30 days in advance. If the Buyer does not accept the change, the Buyer has the right to cancel the subscription before the effective date.
Article 4 — Performance and delivery of the service
4.1 A Commerce Up subscription, being a digital service, is activated immediately after payment is confirmed and the Buyer's panel access is opened.
4.2 The service is offered so that it can be accessed 24/7 from any device with an internet connection.
4.3 The Buyer is notified in advance by email of planned maintenance work.
Article 5 — Right of withdrawal — important notice
Under Article 49/3 of Consumer Protection Law No. 6502
The right of withdrawal cannot be exercised for digital services whose performance begins immediately at the Buyer's request. In this case the Buyer is deemed to have waived the right of withdrawal if the following conditions are met:
- Performance of the service began immediately after payment confirmation
- The Buyer was clearly informed about this on the purchase screen and gave consent
5.1 Basic rule: A Commerce Up subscription is a digital service that becomes active the moment payment is confirmed. For this reason the right of withdrawal under Article 49/3 of Law No. 6502 generally does not apply.
5.2 Commerce Up customer-friendly cancellation policy: That said, putting customer satisfaction first, the Company applies the following voluntary refund policy:
Article 6 — Cancellation and refund policy
6.1 Monthly subscriptions: The Buyer can cancel a monthly subscription at any time from the account panel. Cancellation takes effect at the end of the current billing period. No partial refund is made for the remaining period.
6.2 Annual subscriptions: If a refund request is submitted within 7 (seven) calendar days of purchasing an annual subscription, the full fee is refunded. This period starts from the date of payment confirmation.
6.3 Refunds due to technical problems: If a service outage caused by Commerce Up exceeds 72 hours, an invoice reduction or refund is made in proportion to the outage duration.
6.4 How to request a refund
- Send an email to [email protected] with the subject “Refund Request”
- State your account details, order number and the reason for the refund
- Your request is answered within 2 business days
- Approved refunds are returned to the original payment method within 5-10 business days
6.5 Cases where no refund is made:
- Accounts terminated for violating the terms of use
- Requests arising from third-party integration problems
- Choosing the wrong plan
Article 7 — Plan changes and upgrades
7.1 Upgrade: When moving to a higher plan the difference is calculated proportionally and applied immediately.
7.2 Downgrade: Moving to a lower plan takes effect at the end of the current billing period.
7.3 Some features and data may be limited as a result of a downgrade.
Article 8 — Preliminary information and consent
Before completing the purchase, the Buyer acknowledges having been informed of, and gives consent to, the following:
- Selected plan features and fees
- The digital nature of the service and the immediate start of performance
- The restriction on the right of withdrawal and the voluntary refund policy
- Automatic renewal terms
- Billing cycle and payment method
Article 9 — Disputes and competent authority
9.1 Turkish law applies to disputes arising from this Agreement.
9.2 For Buyers acting as consumers: within the monetary limits announced each year by the Ministry of Trade, Consumer Arbitration Committees are competent, and for disputes above that limit, Consumer Courts are competent.
9.3 For commercial buyers, the Istanbul (Çağlayan) Courts and Enforcement Offices are competent.
